Information for the bondholders of Ekosem-Agrar AG regarding the purchase offer of HTL GesbR

Ekosem-Agrar AG has been informed that HTL GesbR has made a purchase offer for several corporate bonds, including the Ekosem-Agrar bond 2012/2022 (ISIN: DE000A1R0RZ5) and the Ekosem-Agrar bond 2019/2024 (ISIN: DE000A2YNR08), which the custodian banks have passed on to the investors.

The Management Board comments on this as follows:

HTL GesbR is not known to the Company and there are no legal relationships between HTL GesbR and the Ekosem-Agrar Group. According to the non-binding offer, bonds in a volume of up to EUR 1,000,000 each are to be purchased at an offer price of EUR 127.50 (corresponding to a price of 12.75%) or EUR 115.00 (corresponding to a price of 11.5%) per EUR 1,000.00 nominal amount of each bond. The offer is thus significantly below the issue price and also significantly below the current prices of 26% and 21% (closing prices as of 6 September 2022) at which the bonds of Ekosem-Agrar AG are traded on the market.

In order to prevent possible uncertainties in the market, the Management Board clarifies that the operational business development, as communicated in the press release of 5 September 2022, continues to be stable despite the overall economic and political situation.
