Information for the bondholders of Ekosem-Agrar AG: Flat note and redemption of the bond 2012/2022

The Ekosem-Agrar bond 2012/2022 (ISIN: DE000A1R0RZ5) has been quoted as a so-called "flat bond" following the ad hoc announcement of November 4, 2022 concerning the deferral of interest payments. The Company was not notified of this and only subsequently became aware of the change on its own initiative and after contacting the relevant parties. The flat quotation means that no accrued interest is now payable on the purchase of bonds via the stock exchange.

In the last few days, some custodian banks have also informed their customers that the bond will be redeemed on December 7, 2022. The reason for this is that the resolutions of the noteholders' meeting, which among other things provided for a maturity extension of five years, could not yet be implemented due to a legal action. However, the Company expects that the resolutions of the noteholders' meeting can be implemented before the maturity date on December 7, 2022.

Even if the resolutions should only be executed after this date, as communicated in the ad hoc announcement of November 4, 2022, the ESA bond 2012/2022 will only be redeemed after the end of the extension period and the interest payment for the interest payment period from 7 December 2021 to 6 December 2022 will be suspended.
