Ekosem-Agrar AG: Voronezh Arbitration Court rejects the application for annulment of option agreements with RSHB-Finance

Walldorf, December 2, 2021 - Ekosem-Agrar AG announces that the Arbitration Court in Voronezh Oblast, Russia, has rejected the application of Ekosem-Agrar AG and further applicants for annulment of option agreements concluded with RSHB-Finance limited liability company, a company affiliated with the Russian Agricultural Bank, concerning the acquisition of a total of 99 percent of the shares in each of the subsidiaries OOO EkoNiva-APK Holding, OOO EkoNiva- Produkty Pitanija and OOO EkoNiva-APK Chernozemje (together "Russian Intermediate Holding Companies"). As soon as the reasons for the decision are available, Ekosem-Agar AG will review and decide whether the respective applicants will appeal this court decision.

The court has also explained that the measures of interim legal protection prohibiting RSHB-Finance from acquiring the shares in the Russian Intermediate Holding companies will be maintained until the decision on the rejection by the court becomes final and binding. In case of appeal by the claimants, the interim legal protection will continue until the court of appeal will have decided.

Notwithstanding the court decision, constructive negotiations between Ekosem-Agrar AG and the Russian Agricultural Bank are ongoing with the aim to secure the mid and long-term financing of the Ekosem-Agrar Group. In this context, the Russian Agricultural Bank gave verbal assurances today that it is willing to implement concrete, essential steps with regard to a solution of the current financing situation of the Ekosem-Agrar Group shortly.
