Auditor issues disclaimer of opinion for 2020 financial statements due to impact of Russia-Ukraine conflict

Walldorf, 23 December 2022 - Ekosem-Agrar AG received a disclaimer of opinion for the annual and consolidated financial statements for the financial year 2020 by its auditor, Ernst & Young GmbH Wirtschaftsprüfungsgesellschaft ("EY"). Due to the implications of the Russia-Ukraine conflict, the auditor does not consider itself in a position to issue a final audit opinion. In particular, against the background of the sanctions taken against Russia and the Russian counter-sanctions, EY is of the opinion that it was not possible to provide sufficient evidence regarding central planning assumptions and that Ekosem-Agrar AG can still exercise control over the operating subsidiaries in Russia and the cash available there. The Supervisory Board approved the annual and the consolidated financial statements for the financial year 2020 after receiving the disclaimer of opinion; the annual financial statements for the financial year 2020 are thus adopted.

For the annual and consolidated financial statements 2021, DWP AG Wirtschaftsprüfungsgesellschaft, Düsseldorf, was appointed as the new auditor after EY withdrew from business in Russia. Work on the financial statements has already begun and is proceeding according to plan.

Ekosem-Agrar AG will publish the financial statements for the financial year 2020 in January 2023.
